These Offeror Terms of Service (“Terms”) govern access to and use of the Munivendor eProcurement platform (the “Platform”) by vendors, offerors, contractors, suppliers, and other entities (collectively, “Offerors” or “you”). The Platform is owned and operated by Munivendor (“Munivendor,” “we,” “us,” or “our”) and is designed to facilitate electronic procurement activities for government agencies and other public-sector entities (“Agencies”). By registering for an account, purchasing submission credits, submitting a response, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.
1. Eligibility and Account Registration
1.1 Eligibility
You represent and warrant that you are legally authorized to conduct business, to enter into binding agreements, and to submit bids, proposals, submissions, responses (hereinafter collectively referred to as “offers”) to government Agencies.
1.2 Account Registration
You must create an account to use the Platform. You agree to provide accurate, current, and complete information and to keep your account information up to date.
1.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify MuniVendor immediately of any unauthorized use or suspected security breach.
2. Use of the Platform
2.1 Permitted Use
The Platform may be used solely to view solicitations, submit offers, manage submissions, and perform related procurement activities authorized by Agencies.
2.2 Prohibited Conduct
You agree not to:

Violate any applicable law, regulation, or procurement rule;

Misrepresent your qualifications, pricing, certifications, or compliance status;

Interfere with or disrupt the operation or security of the Platform;

Attempt to gain unauthorized access to any systems, data, or accounts;

Upload malicious code, viruses, or harmful content.
2.3 Agency Rules Control
Each solicitation is governed by the applicable Agency’s rules, instructions, and legal requirements. MuniVendor is not legally responsible for enforcing or interpreting public procurement law.
3. Submission Credits and Fees
3.1 Credits Required
Offerors must purchase submission credits to submit responses through the Platform. The number of credits required may vary by solicitation.
3.2 Payment Methods
Payments may be made by credit card or Automated Clearing House (ACH), as made available through the Platform. You represent that you are authorized to use the selected payment method.
3.3 No Refunds
Except as required by law or expressly stated in writing by MuniVendor, all purchases of submission credits are final and non-refundable, including credits that are unused or are associated with unsuccessful submissions.
3.4 Taxes
You are responsible for all applicable taxes, fees, or charges arising from your purchase or use of submission credits.
4. Submissions and Content
4.1 Your Content
You retain ownership of all documents, data, and materials you submit (“Submission Content”). You grant MuniVendor a limited, non-exclusive, royalty-free license to host, process, transmit, and display Submission Content solely for the purpose of operating the Platform and delivering it to the relevant Agency.
4.2 Accuracy and Compliance
You are solely responsible for the accuracy, completeness, legality, and compliance of all Submission Content, including compliance with procurement laws, regulations, and solicitation requirements.
4.3 Submission Deadlines
You are responsible for ensuring that submissions are completed and submitted utilizing the Platform prior to applicable deadlines.
5. Role of MuniVendor
5.1 Platform Provider Only
MuniVendor acts solely as a technology provider. We are not a party to any solicitation, bid, contract, or dispute between you and an Agency.
5.2 No Endorsement or Guarantee
MuniVendor does not review, evaluate, endorse, or guarantee the success of any submission or the award of any contract.
6. Availability and Support
6.1 Availability
The Platform may be unavailable from time to time due to maintenance, upgrades, or circumstances beyond our reasonable control. When the Platform is unavailable due to maintenance and/or upgrades, the unavailability will be limited to time periods in which there is no active solicitation in progress.
6.2 No Warranty of Uptime
MuniVendor does not guarantee uninterrupted or error-free operation of the Platform.
7. Intellectual Property
7.1 MuniVendor IP
The Platform, including all software, designs, text, and trademarks, is owned by MuniVendor or its licensors and is protected by intellectual property laws.
7.2 Restrictions
You may not copy, modify, distribute, reverse engineer, or create derivative works from the Platform except as expressly permitted by law.
8. Confidentiality and Data
8.1 Confidential Submissions
Submissions to government Agencies may be subject to public records or freedom of information laws. MuniVendor does not control Agency disclosure obligations.
8.2 Data Security
MuniVendor implements commercially reasonable administrative, technical, and physical safeguards, but, like any digital platform provider, does not guarantee absolute security.
9. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUNIVENDOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUNIVENDOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM.
IN NO EVENT SHALL MUNIVENDOR’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO MUNIVENDOR FOR SUBMISSION CREDITS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Munivendor and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of or related to your use of the Platform, your Submission Content, or your violation of these Terms or applicable law.
12. Termination
12.1 By You
You may stop using the Platform at any time.
12.2 By MuniVendor
MuniVendor may suspend or terminate your access for violation of these Terms, misuse of the Platform, or to comply with legal requirements.
12.3 Effect of Termination
Unused submission credits are forfeited upon termination, unless otherwise required by law.
13. Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the state specified by MuniVendor, without regard to conflict of laws principles. Venue for any dispute shall lie in a court of competent jurisdiction located in that state.
14. Changes to These Terms
MuniVendor may update these Terms from time to time. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms. Changes will be posted here with a revised “Last Updated” date.
